1. General Information

These Terms and Conditions (the "Affiliate Agreement") govern the Affiliate Program that 3Pod Group LLC. makes available ("3Pod," "we," or "us"). These Terms and Conditions represent the entire agreement and understanding between 3Pod and the individual or entity participating in the Affiliate Program (the "Affiliate" or "you").

Please read this agreement carefully as it represents a legally binding agreement between you and 3Pod. By registering to use the Affiliate Program, you agree to comply with all the terms and conditions set forth in this Affiliate Agreement. 3Pod may terminate your Affiliate Account at any time, with or without notice, for conduct that violates this Affiliate Agreement, for conduct that 3Pod believes is harmful to its business, or for conduct in which the use of the Affiliate Program is detrimental to any other party.

2. Referral Tracking and Affiliate Links

3Pod will provide the Affiliate with the option to create affiliate links with which to promote the product. 3Pod will track users who have visited these affiliate links using cookies that expire after 60 days. Only users who make a purchase while the cookie is active will be considered referrals of the Affiliate and registered as such in the Affiliate Panel. The last cookie will receive credit for the purchase of a subscription.

The Affiliate is not authorized to modify or alter the cookies in any way. 3Pod is not responsible for any tracking or reporting errors that may result from any modification of the Affiliate Link or cookies.

3. Affiliate Commissions and Payments

A referral will be eligible for payment ("Eligible Referral") after 30 days of a successful subscription if it meets all of the following criteria:

• The referred individual makes a purchase of a new subscription with a term that is one month or a full year.
• The referral's account remains active and in good standing.
• None of the payments from the referral's account have been refunded, charged back, or reversed.
  
  

All website error requests (such as 403 errors or 404 errors) will redirect traffic to a default error page of 3Pod. This error page informs visitors that the requested web page cannot be found and may include, among other things:

• Links to additional products and services offered by 3Pod.
• Advertisements for products and services offered by third parties.
• An Internet search engine interface.
• Failure to meet any of these criteria will permanently void the referral and disqualify it from any potential payment.

The Affiliate is entitled to receive a recurring commission of 20% (or an otherwise agreed-upon commission) for each eligible referral that is registered in the Affiliate Panel ("Affiliate Fee"). Affiliate fees will be paid only when the affiliate has at least 3 active eligible referrals. Payments will be transferred to the payable balance after 30 days of a successful subscription event. The minimum payment amount is $100 USD.

All Affiliate Fee payments will be made solely in US dollars unless otherwise determined by 3Pod at its sole discretion. Payment will be made via PayPal or bank transfer against a valid invoice issued by the Affiliate using the payment section located in the Affiliate Panel. The Affiliate is responsible for providing 3Pod with the complete and accurate details required to remit the Affiliate Fees and is solely responsible for any payment delay resulting from failure to do so.

A good standing account is one that is active and in compliance with all of 3Pod's policies and terms of service. This means the account must have an active subscription and not have incurred refunds, charges, or payment reversals. The account must also be free of fraudulent, deceptive, or illegal activity. 3Pod reserves the right to determine, at its sole discretion, whether an account meets the criteria to be considered in good standing. In the event that an account is determined not to be in good standing, eligibility to receive affiliate payments will be forfeited.

• Affiliates will receive a 20% commission for each active eligible referral registered in the affiliate panel.
• Affiliate fees will be paid after 30 days of a successful subscription event.
• Eligible referrals must meet certain criteria, such as making a purchase of a new subscription with a term of one month or one full year, maintaining an active and good-standing account, and not having been subject to refunds, charges, or payment reversals.
• Payments will be made only when the affiliate has at least 3 active eligible referrals.
• The minimum payment amount is $100 USD.
• Commission payments will only be made in US dollars, and can be transferred via PayPal, sent to the 3Pod wallet, or through a bank transfer with a valid invoice issued by the affiliate.
• If a referral or affiliate fee is deemed fraudulent, deceptive, or illegal, it may be recalculated, voided, or disqualified.
• Referrals for purchases made through 3Pod's special offers or promotions are not eligible for payment.
• There will be no commission payments for personal use of the product, and any personal exploitation of commissions will result in termination of the affiliate.
• If a commission is not claimed within 12 months from the expiration date, the commission will expire and will no longer be eligible for redemption. 3Pod reserves the right to extend this expiration period for an additional period of time, but is not obligated to do so.

In the event of any activity that 3Pod deems suspicious, 3Pod may delay payment of affiliate fees for up to 3 calendar months to verify relevant transactions. 3Pod reserves the right to recalculate, void, or disqualify any referral or affiliate fee in case of fraudulent, deceptive, or illegal activity.

In the event that an account is canceled for any reason, referrals related to that account and corresponding affiliate fees will be voided and permanently lost. Additionally, any pending or future Affiliate Fee payments will be canceled. The Affiliate will not be entitled to receive any commissions for eligible referrals associated with a canceled account.

There will be no commission payments for personal use of the product. The affiliate is not to receive a discount on their personal accounts and projects. We maintain a strict policy and review all commissions, and they will NOT be paid if such personal exploitation is detected. Termination of the affiliate is possible if there is a violation of the rule.

4. Promotion of 3Pod Services

Hereby, 3Pod grants the Affiliate a limited, non-exclusive, non-transferable license to use 3Pod's logos solely for the purpose of promoting our service within the context of the Affiliate Program. This license shall expire upon termination of the Affiliate's participation in the Affiliate Program.

The Affiliate may only display advertisements containing 3Pod's logos or service marks tastefully. The Affiliate may not use 3Pod's logos or service marks in a manner that, in 3Pod's sole discretion, portrays 3Pod negatively.

The Affiliate shall be solely responsible for their own marketing activities. All marketing activities must be professional and in full compliance with all applicable laws.

3Pod may, without prior notice, request the Affiliate to remove or modify any advertisement at its sole discretion.

In the case of a promotional affiliate rate with an expiration date, such as the 50% promotional affiliate commission, you will receive the promotional rate for all subscriptions made until the promotion expiration date. After the expiration date, all new and recurring subscriptions will have regular commission rates.

5. Terminación de Afiliados

The Affiliate may terminate the Affiliate's participation in the Affiliate Program immediately by giving the other party written notice of termination.

3Pod reserves the right to cancel the Affiliate's participation in the Affiliate Program at any time for conduct that materially breaches this Affiliate Agreement or for conduct that 3Pod, in its sole discretion, deems harmful to its business or any third party.

Upon termination, the Affiliate will lose access to their Affiliate Dashboard and forfeit all potential or unpaid Affiliate Fees.

It is strictly prohibited to send cookies or any other malicious form of generating referrals.

It is strictly prohibited to impersonate 3Pod and conduct PPC campaigns based on organic keywords with the brand name in them.

6. Relationship of the Parties

3Pod and the Affiliate are independent contractors. Nothing in this Affiliate Agreement shall create a partnership, employment, agency, representative, or joint venture relationship between the parties. The Affiliate has no authority to act on behalf of 3Pod.

7. Limitation of Liability

The Affiliate Program is provided "as is" and "as available," and the use of the Affiliate Program is at the Affiliate's own risk. 3Pod makes no representations or warranties, express or implied, regarding the Affiliate Program, or any service or information provided through the Affiliate Program.

3Pod shall not be liable for any damages, injuries, or economic loss arising from the use of the Affiliate Program. In the event that any part of the Affiliate Program causes damage or inconvenience to the Affiliate or any person making claims through the Affiliate, the Affiliate assumes full responsibility and cost for them.

THE AFFILIATE SHALL BE SOLELY RESPONSIBLE FOR THE CONTENT AND MANNER OF THEIR MARKETING ACTIVITIES. ALL MARKETING ACTIVITIES MUST BE PROFESSIONAL, APPROPRIATE, AND LEGAL ACCORDING TO APPLICABLE STANDARDS OR LAWS.

The Affiliate shall indemnify and hold harmless 3Pod, its directors, officers, employees, agents, subsidiaries, and third parties from any loss, damage, liability, claim, judgment, settlement, fine, cost, and expense (including related reasonable expenses, legal fees, investigation costs) arising from or related to the Affiliate's operations or use of the Affiliate Program or any third party.

8. Modification at Any Time

3Pod may, at its sole discretion, change or modify this Affiliate Agreement at any time, with or without prior notice. Such changes or modifications shall become effective for all Affiliates upon posting the modified Affiliate Agreement at this web address: https://3Pod.io. The Affiliate is responsible for reading this document from time to time to ensure that their use of the Affiliate Program continues to comply with this Affiliate Agreement.

If any modification is unacceptable to the Affiliate, their sole recourse shall be to terminate this Affiliate Agreement. The Affiliate's continued participation in the Affiliate Program shall constitute binding acceptance of such modifications.

9. Miscellaneous Points

The Affiliate warrants and represents that they are over 18 years of age and qualified to enter into this Affiliate Agreement.

The Affiliate warrants and represents that their actions and participation in the Affiliate Program comply with all laws, regulations, rules, and requirements of applicable government authorities at all times. 3Pod reserves the right to cancel the Affiliate's participation in the Affiliate Program if 3Pod determines, in its sole discretion, that the Affiliate's actions or participation in the Affiliate Program violate any law, regulation, rule, or requirement of the government authority.

This Affiliate Agreement constitutes the entire agreement between 3Pod and the Affiliate. This Affiliate Agreement supersedes any other contract or understanding between the parties hereto and neither party shall be bound by any statement or representation not incorporated in this Agreement.

Any dispute arising in connection with this Affiliate Agreement shall be exclusively resolved in the Courts of Atlanta, GA USA.
